The 91st Annual General Meeting of the Vancouver Art Gallery Association will be held on December 14, 2022 at 5 PM*.
This meeting will be hosted in person at the Vancouver Art Gallery

WHERE: Vancouver Art Gallery, Courtroom 302* Forecourt & Rotunda*new time and location
Please note, the benefits for the Level 1: Art Opens Access do not include voting rights at the Annual General Meeting. This pass provides access to the Gallery for a one-year term. If you wish to attend, please register and you will receive a “Non-Voting” slip at the meeting. If you wish to purchase a membership to have voting rights please reach out to the Membership Department at membership@vanartgallery.bc.ca

NOTICE OF SPECIAL RESOLUTION OF VANCOUVER ART GALLERY ASSOCIATION
(the “Society”)
The following special resolutions will be proposed for approval at the annual general meeting of the members of the Society to be held on November 30, 2022. Note that while this special resolution will be considered and approved at the members’ meeting, they will not come into effect until the Society files a Bylaw Alteration Application, which will occur as soon as practicable after the meeting. Until that time, the current bylaws will remain in effect.
Replacement of Bylaws
RESOLVED as a special resolution that the current Bylaws of the Society be deleted in their entirety and that the form of Bylaws attached hereto as Schedule A be adopted as the Bylaws of the Society in substitution for, and to the exclusion of, the existing Bylaws of the Society, with effect upon the electronic filing of a Bylaw Alteration Application with the BC Registrar of Companies.
Authorization
RESOLVED as an ordinary resolution that the solicitors for the Society, Norton Rose Fulbright Canada LLP, be and are hereby authorized to electronically file the Bylaw Alteration Application giving effect to the amendments approved herein.
